General Information
Every foreign corporation and limited liability company is required to file an annual report with this Department. This report is due March 31st. On or after August 1st, the Department mails a Notice of Intent to Revoke to those foreign entities who have not yet filed the current year's annual report. A notice is sent to both the registered agent at the registered office address and the principal office address that is on record at DFI. If both of these attempts are unsuccessful, then the entities are added to the
"Notice of Intent to Revoke" publication.
The notice states the statutory authority and provides 60 days to file the report. If the report is not received by the end of that 60-day period, the entity's registration to operate in Wisconsin is revoked. If the previous notices were unsuccessful, then the entities are added to the
"Certificate of Revocation" publication.
The annual report can be accessed by clicking on Business Services in the menu and selecting Business Entity File Online or by contacting our office to supply a paper form. Once the entity has been revoked, entities have the opportunity to reinstate, for six months after the effective date of the revocation.
What is Intent to Revoke?
A: Foreign entities that fail to file an annual report within four months of the March 31st due date, are subject to having their Certificate of Authority/Registration revoked or terminated by DFI. Attempts are made to contact these entities by US Mail. If the mail cannot be delivered, the entity name is published in a Notice of Intent to Revoke. If DFI does not receive an annual report within a given time period, the entity will be revoked and it will appear on the Certificate of Revocation list.
What do I do now?
A: If your entity received the "Notice of Intent to Revoke" and you want the entity to remain in existence in Wisconsin, you must file an annual report. You can access this report by clicking on Business Sevices in the menu and selecting Business Entity File Online or by contacting our office to supply a paper form. If you do not want to continue your registration in Wisconsin, don't do anything and you will see a Certificate of Revocation published 60 days after the Notice.
If your entity has received a "Certificate of Revocation" and you want the entity to be reinstated, you can request and file reinstatement within six months of the effective date of the revocation.
I thought I withdrew my company. Why is it on the list?
A: The only way to withdraw an entity is by filing a Withdrawal document with the Department of Financial Institutions. If a withdrawal was received and accepted by the Department, then we would not have grounds to revoke or terminate the entity. If you received notice of intent to revoke, and believe that an attorney or accountant filed the withdrawal document, you should contact that attorney/accountant and ask for a copy of the filed document. Filing a final tax document with the Wisconsin Department of Revenue or the IRS telling them that you are withdrawn does not terminate the entity with this department.
What if I want to voluntarily withdraw my entity?
A: You have the option of filing a withdrawal: for a business corporation, form 24; a nonstock corporation, form 124; a limited liability company, form 524. Please visit our Business Entity Forms page to select the appropriate withdrawal document.
