Used for: Offers, but not sales, of securities through a presentation to potential investors at a venture capital fair or other investment forum designated by the Division of Securities
Note: For a venture capital fair or investment forum to qualify for use of this exemption, a written application must be filed as described below in Venture Capital Fair Filing Requirement and designation as a venture capital fair or investment forum must be received from the division in writing.
Venture Capital Fair Filing Requirement
- Filing fee: None.
- Form required: There is no required form. File a letter, at least 10 days prior to the offering in this state, applying for designation as a venture capital fair or investment forum, referencing Wis. Stat. s. 551.203 and Wis. Admin. Code s. DFI-Sec 2.02(9)(k). The application letter must be submitted by or on behalf of the sponsor, setting forth the dates, places, and times the activity will take place, and the requirements to be met for a firm or person to participate.

- Review time: 10 days from receipt by the division of the application or supplemental information required by the division.
